1. Acceptance of Terms

By accessing or using the website at https://www.skywizardmarketing.com or engaging the services of SkyWizard Marketing (“SkyWizard Marketing,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Site or services.

2. Description of Services

SkyWizard Marketing is a digital marketing agency offering services including but not limited to: social media marketing, search engine optimization (SEO) and content strategy, paid advertising management (PPC), and web design and development.

Specific services, deliverables, timelines, and pricing are outlined in individual service agreements or statements of work (SOWs) agreed upon between SkyWizard Marketing and each client prior to commencement of work.

3. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete, and timely information required for service delivery
• Timely review and approval of deliverables as outlined in the SOW
• Grant necessary access to platforms, accounts, and materials required for the work
• Ensure that all materials provided to us do not infringe third-party rights

4. Payment Terms

Payment terms, rates, and billing schedules are specified in individual client agreements. Unless otherwise agreed in writing:

• Invoices are due within 15 days of issuance
• Late payments may incur a 1.5% monthly interest charge
• SkyWizard Marketing reserves the right to suspend services for accounts with overdue balances exceeding 30 days

5. Intellectual Property

Upon full payment for services, clients receive ownership of custom deliverables (e.g., website code, original creative content) created specifically for them, unless otherwise specified in the service agreement.

SkyWizard Marketing retains ownership of its proprietary tools, methodologies, frameworks, and any pre-existing intellectual property used in delivering services. We reserve the right to display client work in our portfolio unless the client requests otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives termination of the service agreement. We will not disclose client business information to third parties without consent, except as required by law.

7. Limitation of Liability

SkyWizard Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Our total cumulative liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3-month period preceding the claim.

8. No Guarantee of Results

Digital marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, competition, and client-side factors. While we commit to delivering professional services using industry best practices, we cannot guarantee specific rankings, follower counts, conversion rates, or revenue outcomes.

9. Termination

Either party may terminate a service agreement with 30 days' written notice. Clients remain responsible for payment of all services rendered prior to the termination date. SkyWizard Marketing may terminate immediately for cause, including non-payment or violation of these Terms.

10. Website Use

You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of others. You may not use our Site to transmit harmful content, attempt unauthorized access, or scrape content without written permission.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or our services shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site or services after changes constitutes acceptance of the revised Terms.
